Talent Pool Terms & Conditions

The Codalyst Talent Pool (the "Pool") is a curated registry of verified professionals and agencies maintained by Codalyst Tech (SMC-Private) Limited ("Codalyst", "we", "our"). Participation does not constitute employment, a contract of services, or any guarantee of engagement.

Inclusion means only that your profile has passed our vetting process and is held on record for potential matching with client contracts. You remain entirely free to pursue other work while in the Pool.

By submitting an application you confirm that:

• For individuals: you are a Pakistani national currently based in Pakistan with a minimum of three (3) years of paid, commercial experience in your stated discipline.
• For agencies: you are a legally registered business operating from Pakistan, with a verifiable portfolio of client work and at least one managed professional available for engagement.
• All information provided is truthful and accurate. Misrepresentation will result in permanent removal from the Pool.

Acceptance into the Pool is not a job offer or guarantee of work. Codalyst may choose not to forward your profile to any client for any reason, including client requirements, market conditions, or profile fitness.

If you are offered and accept a contract through Codalyst:

• You are legally bound to deliver the agreed scope of work for the full contracted duration.
• Partial delivery, abandonment, or mid-contract withdrawal without Codalyst's written agreement constitutes a material breach.
• All work must be delivered to the quality standard agreed at contract commencement.
• You must sign Codalyst's standard engagement documentation before any client work begins.

All payments for contracted engagements are made by Codalyst, not directly by the client. Payment terms, rates, and schedules will be set out in the individual engagement contract.

You may not approach or invoice the client directly for work arranged through Codalyst without Codalyst's prior written consent.

Unless otherwise specified in an engagement contract, work product created during a contracted engagement is the intellectual property of the relevant client. You assign all such rights to Codalyst (who will assign them to the client) upon receipt of payment.

By participating in the Pool and accepting engagements you agree to treat all client information, project details, and business information as confidential indefinitely, unless information enters the public domain through no breach by you.

Codalyst reserves the right to remove any profile at any time, without notice, in cases of inaccurate information, contract breach, conduct reflecting negatively on Codalyst or its clients, or prolonged inactivity.

You may request removal at any time by contacting us. Removal does not affect obligations under any active engagement contract.

Your data is stored and processed as described in our Privacy Policy. By submitting your application you consent to storage and use of your data for Pool management and engagement matching.

These terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.
